When resigning a company secretary Form TM02 should be used to notify and make the removal of the corporate body or individual person official at Companies House.
Following the inception of the last tranche of the Companies Act 2006 provisions on 1st October 2009 the functions of the previously used document namely Form 288b has been divided in to two separate instruments. The Form TM01 provides the facilities for the resignation of a company director, whilst Form TM02 facilitates the removal of a company secretary.
One of the consequences of the new two documents regime is that a single person or entity now resigning from both positions would now be required to complete and submit two forms as opposed to being able to fill out a single record and tick the relevant boxes.
The Form TM02 is largely the same as its counterpart TM01 in terms of the information the submitter is required to enter. The logical difference is that the former document does not mandate a date of birth for the secretary as unlike company directors; there are no minimum age requirements to be satisfied in order for a person to be appointed to that position.
