Form 288b

 

Form 288b is used to resign a director and or secretary. This Companies House form is available in the password protected PDF style or can be filed electronically where such facilities exist.

A person who is currently acting as a director or secretary is required to sign Form 288b and to signal the date from which the resignation is to become effective.
 
Once the request for resignation has been received and authenticated by Companies House, it will appear under the list of officially filed documents which are available to the public.

It is a legal requirement for a company to have at least one director and secretary at any one time. Thus, in situations where a sole director or secretary is being replaced, it is important that the Form 288a is submitted before the Form 288b.

This should ensure that the resignation request is not rejected on the grounds that the company would be without a director or secretary, even for a short period.
