Sample Letter of Indemnity Agreement Part 3

 

3. Where Forming a Company Limited appoints a member, director, alternate director, manager, secretary or other officer of the Company other than itself or the Employee such appointee shall be deemed included in this Indemnity as if party hereto.

4. In the event of the Nominee and or the Employee giving written notice to the Owner resigning from the appointment or wishing to cease acting as a Member of the Company, the Owner will within fourteen days thereafter call a meeting of the Company to appoint new officers of the Company and/or will cause or direct the new directors of the Company to register a transfer of the shares from the resigning nominee shareholder to a new member or alternatively to himself as owner within fourteen days following the meeting of the shareholders.

5. If the registered office is that of Forming a Company Limited on the Nominee secretary giving to the Owner and or the Company one months written notice terminating the licence or tenancy or the right of the Company to use the address of the Appointee as its registered office the Owner will cause the Company to deliver to the Registrar of Companies a notification of the change of registered office within twenty one days of the termination but failing the delivery of such notice the Owner hereby consents to the Nominee director delivering such notice as attorney for the Company.

6. In this Letter of Indemnity where the context so admits or requires the singular shall include the plural and the masculine shall include the feminine and vice versa as the case may be.

7. This agreement shall be governed by and construed in accordance with the laws of England and Wales and the parties hereto submit to the non-exclusive jurisdiction of the English Courts.
